1. Introduction
These Terms and Conditions ("Terms") govern the relationship between MAIRA ("we", "us", "our") and any client or user ("Client", "you") who accesses our website at maira.agency or engages any of our marketing services. By booking a call, signing a proposal, making a payment, or otherwise engaging our services, you agree to be bound by these Terms in full.
MAIRA is a marketing service powered by experienced human professionals and artificial intelligence tools. We are backed by the team behind MYC, with over 14 years of industry experience. Our services include social media management, content creation, ad management, and related digital marketing activities.
2. Services Offered
MAIRA offers the following service tiers, as described on our website. All prices are exclusive of VAT/TAX unless otherwise stated.
2.1 Onboarding (One-Time)
A one-time onboarding package priced €350 ex. TAX, covering:
- Account setup on Meta, Google and LinkedIn
- Basic structure setup including pages and ad accounts
- Access management for all relevant platforms
- Initial strategy discussion and campaign direction
Content & Assets: MAIRA creates all marketing content as part of the service. The Client is responsible for supplying brand assets (logos, brand guidelines, and approved imagery) prior to commencement of work. MAIRA is not responsible for delays caused by late or incomplete asset delivery. If the Client requires photography or videography of physical premises, products, or people, this can be arranged at an additional cost upon separate quotation.
2.2 Essential - €350/month ex. TAX
- 1 online meeting per month (maximum 60 minutes, conducted via video call or chat on a mutually agreed platform)
- 4 static posts per month - scheduling is flexible and content may be delivered and scheduled in batches as agreed with the Client, provided the monthly volume is met
- Design and content creation for each post
- Basic ad setup
2.3 Growth - €475/month ex. TAX
- Everything included in Essential
- 8 static posts per month, OR 2 short-form animated videos per month, OR a mix of both - format to be agreed during the monthly meeting
- Short-form animated video creation (see Section 2.6 for video definition)
- Ad setup and ongoing ad management
2.4 Performance - €625/month ex. TAX
- Everything included in Growth
- Google Search Ads setup
- Google Search Ads management
2.5 Pro Partnership - Custom Pricing
Custom solutions are available for clients with more complex or larger-scale requirements. Scope, deliverables, and pricing are agreed in writing prior to commencement of work.
2.6 Definition of Short-Form Animated Video
A "short-form animated video" is defined as a piece of digital content with an approximate duration of 15 to 30 seconds, produced entirely using motion graphics, static image stitching, text animation, and a clear call-to-action. All videos include background music and basic audio tuning. This format does not include, and MAIRA is not obligated to provide: live filming or on-location production; storyboarding or pre-production scripting; voiceover recording; actor or talent coordination; or any form of original video footage capture. The one (1) revision policy (Section 4) applies to video deliverables without exception.
The specific inclusions of each package are as described on the MAIRA website at the time of engagement. MAIRA reserves the right to update package contents with reasonable notice.
3. Minimum Contract Term
All monthly service packages (Essential, Growth, and Performance) are subject to a minimum commitment of three (3) consecutive months from the date of the first invoice. The Client acknowledges that marketing results require consistency over time and that this minimum term exists to ensure that agreed strategies can be properly executed and measured.
Following the minimum three-month term, the arrangement continues on a rolling monthly basis and may be terminated in accordance with Section 10 (Termination & Cancellation). The minimum contract term does not apply to the one-time Onboarding package or to Pro Partnership arrangements, which are governed by their separately agreed terms.
4. Ad Spend
Monthly service fees cover strategy, content creation, design, scheduling, and ad management only. Ad spend (i.e. the actual media budget paid to Meta, Google, or other platforms) is not included in any MAIRA service tier and is paid separately by the Client directly to the relevant platform. MAIRA accepts no liability for platform-side charges, billing errors, or policy enforcement by third-party advertising platforms.
5. Revision & Amendment Policy
IMPORTANT: All service tiers include a maximum of ONE (1) revision per artwork or deliverable - including static posts, animated videos, ad creatives, and all other creative output. This policy applies without exception across all tiers.
5.1 Revision Definition
A "revision" is defined as any request to alter, amend, adjust, or modify a completed creative deliverable (including but not limited to: static posts, animated videos, ad creatives, copy, captions, or design assets) after the initial draft has been delivered to the Client.
5.2 One Revision Per Artwork
- The Client reviews the delivered artwork and consolidates all requested changes into a single, comprehensive revision request.
- MAIRA will apply those changes in one revision pass.
- No further changes to that specific artwork will be accepted or actioned after the revision has been delivered.
5.3 Video Revisions
The one-revision policy applies to animated video content in the same manner as static content. Given the nature of animated video production, the Client is strongly encouraged to review the agreed campaign direction and any style references carefully before delivery. Revision requests that fall outside the agreed direction (e.g. requesting a different animation style, changing the call-to-action entirely, or altering the core message) will be treated as a new deliverable and quoted separately.
5.4 Concept Agreement & Direction Approval
To minimise the need for revisions, all campaign concepts and creative directions are discussed and agreed between MAIRA and the Client before execution begins. The Client's approval of a creative direction constitutes acceptance of the general aesthetic, tone, and structural approach for all artworks produced under that direction.
5.5 Revision Requests Outside Scope
Any revision request that falls outside the agreed campaign direction, requires a complete creative rework, or constitutes a new deliverable rather than a modification, will be treated as an additional service and may be subject to separate quotation and fees.
5.6 Feedback Responsibility & Client Approval Window
Client Approval Deadline: The Client must provide feedback, revision requests, or written approval within two (2) business days of delivery. If no response is received within this period, the deliverable will be deemed approved and will proceed to scheduling or publication without further notification.
It is the Client's responsibility to review all deliverables promptly and thoroughly before submitting a revision request. MAIRA will not be held responsible for omissions in a revision request that the Client subsequently raises after the single revision has been delivered, or for content that has been published following a deemed approval.
6. Campaign Direction & Client Approval
Before any creative execution begins, MAIRA and the Client will agree on the campaign direction, including messaging themes, visual style, target audience, and key objectives. This agreement takes place during the monthly online meeting or via written communication. Once a direction is approved by the Client, MAIRA will proceed with execution based on that agreed direction. Any mid-cycle change to direction requested by the Client may result in delays and may not be accommodated within the current billing cycle.
7. Payment Terms
All monthly service fees are invoiced in advance at the beginning of each billing cycle. The one-time Onboarding fee is due prior to commencement of setup work. Payments are due within 7 calendar days of invoice date, unless otherwise agreed in writing.
MAIRA reserves the right to pause or suspend services if payment is not received within 14 days of the due date, without prejudice to any other remedy available. All fees are quoted exclusive of VAT or applicable taxes. The Client is responsible for any applicable taxes in their jurisdiction.
8. Intellectual Property
Upon receipt of full payment for the relevant billing period, the Client is granted a non-exclusive licence to use all creative deliverables produced by MAIRA for the purposes for which they were created (i.e. the Client's own marketing and promotional activities).
MAIRA retains ownership of all underlying templates, systems, processes, and AI-generated components used in producing deliverables. The Client may not resell, sublicense, or represent MAIRA's creative output as their own original creation.
Any third-party assets (e.g. stock images, licensed music) incorporated into deliverables are subject to the licensing terms of their respective rights holders. MAIRA will endeavour to use only properly licensed assets.
9. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of the engagement, including but not limited to business strategies, campaign performance data, pricing agreements, and client materials. This obligation survives termination of the engagement.
10. Termination & Cancellation
Following the minimum three-month contract term (Section 3), either party may terminate the monthly service arrangement by providing 30 days' written notice. The Client remains liable for all fees due during the notice period. No refunds are issued for partially used billing periods.
MAIRA reserves the right to terminate services immediately and without notice in the event of: non-payment exceeding 30 days; abusive or threatening conduct toward MAIRA staff; or the Client's request to produce content that violates applicable laws or platform policies. The one-time Onboarding fee is non-refundable once setup work has commenced.
11. Limitation of Liability
MAIRA's total liability to the Client, whether in contract, tort, or otherwise, shall not exceed the total monthly fees paid by the Client in the three (3) months immediately preceding the event giving rise to the claim.
MAIRA makes no guarantee of specific results, including but not limited to follower growth, engagement rates, lead generation, or revenue. Marketing outcomes depend on numerous external factors outside MAIRA's control, including platform algorithm changes, market conditions, and the Client's own business factors.
MAIRA is not liable for any indirect, consequential, incidental, or special loss or damage arising from the use of its services or any failure to achieve anticipated marketing outcomes.
12. Third-Party Platforms
MAIRA's services involve the use of third-party platforms including Meta (Facebook/Instagram), Google, LinkedIn, and various AI tools. MAIRA is not responsible for platform policy changes, account suspensions, algorithm updates, or any other actions taken by third-party platforms that affect campaign performance or the delivery of services.
The Client is responsible for ensuring their business, products, and services comply with the advertising policies of all relevant platforms. MAIRA will not execute campaigns that, in its reasonable judgement, violate platform policies or applicable law.
13. Data & Privacy
MAIRA handles personal data in accordance with its Privacy Policy, available at maira.agency. By engaging MAIRA's services, the Client consents to the processing of their personal and business data as necessary to deliver the agreed services.
Where MAIRA accesses the Client's social media accounts, ad accounts, or other platforms, the Client grants MAIRA the necessary permissions for the duration of the engagement only. Access will be relinquished upon termination if requested.
14. Amendments to These Terms
MAIRA reserves the right to update or amend these Terms at any time. Clients will be notified of material changes with reasonable notice. Continued use of MAIRA's services after notification of changes constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of Malta. Any disputes arising from these Terms or the services provided shall be subject to the exclusive jurisdiction of the Maltese courts.
